Agreements of Engagement – Versus1 Development (“Job”)

Section 1: Job Outline

The Job is to do the software development for the Versus1 website, including all the functionalities described in section 2, with a satisfactory standard regarding site security, performance, reliability and maintainability. The Job does not include any graphical or html/style sheet design, but does include architecting, testing and documentation. I should also assist the Client to find the best and most appropriate hosting service and assist the site deployment (Launch) after it is tested and accepted by the Client.

Section 3: Responsibilities

Client’s Responsibilities

1.       The HTML and style sheets of the home page should be provided by the Client on or before the Job starts. As the project progresses, the HTML and style sheets should be provided before the functionalities in that page can be implemented.

2.       The Client should make sure the logos, images and the trademark name (Versus1) is not in violation of copyright and trademark legislations.

3.       The Client should ensure prompt payment on acceptance of each stage of the Job (see Section 4, Payments). 15 days is allowed before i can terminate the contract and withdraw or undo any completed work done in that stage.

4.       The Client should cover the full cost of hosting and the necessary third-party software/components.

5.       The Client should, to its best knowledge, be as clear and specific as possible on the requirements. (Here is an example: display the user names of the two opponents in the first column of a match result table, and the scores separated by commas in the second column of this table)

6.       When the Client wants to change the requirement, i should be notified as soon as possible as it will be easier to change things early than later. If it is a big change that requires significant amount of effort, the Client should discuss with me and agree on commercials.

1.    I sould ensure any technology i use is not in violation of intellectual property. I will only use licensed software or components for the Versus1 development.

2.       I should try my best to deliver the first stage of the website in 2 months from the start of the Job, and the second stage in another 2 months. If each stage of the project is delayed by 30 days because of My lack of skills or time to work on this project,  the Client has the right to terminate the contract and own all the work done in that stage including the running website, source code and relevant documentations. I do not take responsibilities of the project delay because of the Client not being to fulfil its responsibilities (e.g. not being able to provide the HTML/style sheet) or frequent or significant change of requirements.

3.       I should do my best to find the most appropriate hosting service and the most cost effective third-party software and components.

4.       I should clarify and understand what the Client REALLY wants in order to avoid the requirement changes at the last minutes.

5.       I shall not disclose any of Client's confidential information concerning the Job to any third party without the prior permission of the Client.

6.       I  should produce necessary documents during the development, including the site page layout, requirement specification, design diagrams, etc. to a degree that is sufficient for record keeping and the maintenance after the Job is complete.

7.       I should complete the development testing before handing the Job over to the Client for acceptance testing, and he should ensure, to his best effort, that the website is as problem-free as possible before the handover.

8.       During the first month after the Job is completed (the Client has accepted it, both stages of the Versus1 website have gone live and the full payment has been made), if the website has any fault, i should agree with the Client on the priority of each fault and provide urgent or non-urgent fixes accordingly. Commercials have to be arranged for subsequent maintenance and the rate is £1,350 per annum.
